PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE WEBSITE, OR BY CHECKING A BOX OR CLICKING TO ACCEPT THESE TERMS (SUCH AS WHEN SUBMITTING A CONTACT FORM, JOB APPLICATION, OR NEWSLETTER SIGN-UP), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE WEBSITE.
- License
- License Grant. This license is subject to your continued compliance with these Terms, including Section 1.2.
- Conditions of Use. You agree that your use of the Website and its Content will comply with the laws of the jurisdiction(s) to which you are subject and with these Terms. Without limiting the foregoing or any other restriction in these Terms, you represent, warrant, and agree that:
- you will not use the Website for any unlawful purpose or in any manner that could harm, harass, or inconvenience us or any third party, or adversely affect our reputation;
- you will not reverse engineer, decompile, disassemble, or access the Website in order to (i) build a competitive product or service, (ii) build a product or service using similar ideas, features, functions, or graphics of the Website, or (iii) copy any ideas, features, functions, or graphics of the Website;
- you will not sell, transfer, assign, license, sublicense, or modify any Content or copy, reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for purposes not permitted by these Terms;
- (d) you will not (i) use any robot, spider, scraper, crawler, or other automated means to access the Website, or to collect, extract, copy, or “mirror” any Content, except that we permit general-purpose search engines and AI-powered search, answer, and assistant services to access and index publicly available pages of the Website solely to display search results, summaries, or answers that link or attribute to the Website, in compliance with our robots.txt file and any other technical access controls we publish, and we may limit or revoke this permission at any time, for any or all automated agents, by updating those controls; (ii) without our prior written consent, use any Content to develop, train, fine-tune, or improve any artificial intelligence or machine learning model or system, or engage in bulk text or data mining or compile datasets from the Content; (iii) disguise or misrepresent the identity of any automated agent, ignore our robots.txt file or other access controls, or exceed any rate limits; or (iv) probe, scan, or test the vulnerability of the Website, circumvent any security or authentication measures, or introduce any virus, malware, or other harmful code;

- you are not prohibited by us or by law from accessing the Website
- User Feedback and Submissions
- User Feedback. Any suggestions, ideas, proposals, or other feedback you submit to us about the Website, the Content, Doral, our projects, or our business, including unsolicited project, land, engineering, procurement and construction (EPC), investment, or other business proposals submitted through our contact form or by email (collectively, “User Feedback”), is voluntary, non-confidential, and non-proprietary. Submitting an inquiry or User Feedback does not create any confidential, fiduciary, lease, option, partnership, investment, or other contractual or business relationship, and does not obligate us to respond or to enter into any agreement with you. You grant us a worldwide, royalty-free, non-exclusive, transferable, perpetual, and irrevocable license to use, reproduce, modify, publish, distribute, display, and create derivative works of User Feedback for any purpose, without compensation to you, except as prohibited by applicable law. You represent and warrant that you have all rights necessary to grant this license and that our use of User Feedback will not violate any law or third-party right. You may not submit through the Website any content that is unlawful, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing, or otherwise objectionable, or that contains viruses or other harmful code.
- Job Applications. You represent that any application, resume, or other materials you submit through the Website are accurate, complete, and your own. Do not submit Social Security numbers, financial account information, or other sensitive personal information unless we request it. Submitting an application does not create an offer of employment, an employment contract, or any obligation to consider your application, and does not alter the at-will nature of any employment with Doral. Job postings may be changed or withdrawn at any time. Our Privacy Policy describes how we handle applicant information.
- Newsletter and Communications. If you subscribe to our newsletter or other mailings, you consent to receive those communications at the email address you provide. You may unsubscribe at any time by using the unsubscribe link in any message or by contacting us as described in Section 12.9.
- Intellectual Property
- The Website and its Content are owned by Doral or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Doral name and logo are trademarks of Doral, and all other names and logos appearing on the Website belong to their respective owners. Except for the limited license in Section 1.1, nothing in these Terms grants you any right or license, by implication, estoppel, or otherwise, to use any Content or any trademark or other intellectual property of Doral or any third party.
- Reliance on Information Posted
- General Information Only. The Content, including descriptions of our solutions, projects, and portfolio, is provided for general information purposes only. It is not financial, legal, investment, tax, engineering, or other advice, and is not an offer or commitment to enter into any transaction, lease, or other agreement. Project details, capacity, timelines, commercial operation dates, portfolio size, and environmental or community-impact figures (such as households served or emissions avoided) are estimates that have not been independently verified, are subject to permitting, interconnection, financing, and market conditions, and may change without notice. We do not warrant the accuracy, completeness, or timeliness of the Content, and any reliance on it is at your own risk. Content, including news releases and archived materials, speaks only as of its date, and we have no duty to update it or to remove outdated items.
- Forward-Looking Statements; No Offer of Securities. The Website may contain forward-looking statements about our plans, projects, financings, and prospects, often identified by words such as “expect,” “anticipate,” “plan,” “intend,” “estimate,” “target,” “forecast,” and similar expressions. These statements are based on current expectations and are subject to risks and uncertainties that could cause actual results to differ materially, including permitting and interconnection outcomes, the availability of tax credits and financing, changes in law or policy, tariffs and supply chain disruptions, construction delays, counterparty performance, and market and grid conditions. Forward-looking statements speak only as of the date made, and we undertake no obligation to update them except as required by law. Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any securities or interests in Doral, its affiliates, its sponsors, or any project. Doral is a separate legal entity from its sponsors, and information about our sponsors is not a statement by or on behalf of them; please refer to their own public filings for information about them.
- Testimonials and Community Information. Testimonials reflect the individual experiences of the persons quoted and are not a guarantee or prediction of any result or compensation. Any lease, easement, or other arrangement with Doral is governed solely by a written agreement signed by the parties, and descriptions of community programs do not create any commitment to future support.
- Links to and from Third-Party Websites
- Third-Party Links and Content. The Website may contain links to, or embedded content from, third-party websites and services that we do not own or control, including news outlets, video platforms, social media sites and sharing buttons, and third-party ethics reporting services. These links are provided for convenience only and do not imply our endorsement, sponsorship, or authorization of, or affiliation with, any third party. We are not responsible for any third-party content, products, or services, or for any loss or damage arising from your use of them. Your use of third-party services is governed by that third party’s terms and privacy policies, and is at your own risk.
- Linking to the Website. You may link to the Website only if you do not (a) suggest any endorsement by or affiliation with us without our prior written permission, (b) misrepresent your relationship with us or present false information about us, (c) link from any site that contains unlawful, infringing, or offensive content, or (d) frame, cache, or mirror the Website or display any Content within another website without our prior written permission, other than as permitted for search engines and AI-powered search services under Section 1.2(d).. We may withdraw linking permission at any time, and your linking is subject to Section 8.
- Modifications to these Terms
- We may modify these Terms at any time by posting an updated version on the Website, and for material changes we may also provide notice by email or on the Website. Modifications are effective when posted, and your continued use of the Website after posting constitutes acceptance. Changes to Section 11 will not apply to any dispute of which we had notice before the change was posted.
- Disclaimer of Warranties; Limitation of Liability
- Disclaimer of Warranties. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF OUR WEBSITE AND ITS CONTENT IS AT YOUR OWN RISK. OUR WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SECURITY, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. WE DO NOT WARRANT THAT OUR WEBSITE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF OUR WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE WEBSITE OR ITS CONTENT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS IN OUR WEBSITE WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US OR OUR AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DORAL AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, CONTRACTORS, OFFICERS, AND DIRECTORS (TOGETHER WITH DORAL, “DORAL PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, BUSINESS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, ANY LINKED WEBSITE, OR ANY CONTENT, UNDER ANY LEGAL THEORY (INCLUDING CONTRACT, TORT, NEGLIGENCE, OR STRICT LIABILITY), EVEN IF FORESEEABLE. THE DORAL PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION 7 DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
- Indemnification
- YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE DORAL PARTIES FROM ANY THIRD-PARTY CLAIMS, LIABILITIES, SETTLEMENTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF (I) YOUR VIOLATION OF THESE TERMS, ANY LAW, OR ANY THIRD PARTY’S RIGHTS; (II) YOUR MISUSE OF THE WEBSITE, INCLUDING LINKING IN VIOLATION OF SECTION 5; OR (III) ANY USER FEEDBACK OR OTHER CONTENT YOU SUBMIT THROUGH THE WEBSITE, INCLUDING ANY CLAIM THAT YOUR APPLICATION MATERIALS INFRINGE A THIRD PARTY’S INTELLECTUAL PROPERTY OR PRIVACY RIGHTS.
- Termination
- These Terms apply to you from the date you first access or use the Website or otherwise accept them, and for as long as you use the Website, with any updated Terms applying as provided in Section 6. We may, at any time and without notice or liability to you, change, suspend, or discontinue all or any part of the Website, or terminate your access to it.
- International Use
- The Website is operated from the United States and is intended for use by persons located in the United States. We make no representation that the Website or its Content is appropriate or available for use elsewhere. If you access the Website from outside the United States, you do so on your own initiative and at your own risk, and nothing on the Website is intended as an offer or solicitation in any jurisdiction where it would be unlawful or would subject us to any registration requirement.
- Governing Law; Mandatory Arbitration
- Governing Law. These Terms, and any dispute arising out of or relating to these Terms or your access to or use of the Website (each, a “Dispute”), are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles, except that this Section 11 and the agreement to arbitrate are governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”).
- Arbitration Procedures. The following procedures apply to all Disputes:
- Informal Resolution. Before commencing arbitration, each party agrees to provide written notice of the Dispute to the other party at its notice address (or an address provided in writing to the other party), including the party’s name, contact information, and a description of the Dispute and relief sought, and to participate in a good-faith informal discussion, by telephone or videoconference if requested, to try to resolve the Dispute. Completion of this process is a condition to commencing arbitration, and any applicable limitations period will be tolled while the parties engage in it
- Agreement to Arbitrate. If a Dispute is not resolved within 30 days after notice is provided, the Dispute will be resolved through individual, non-representative, binding arbitration held in English, instead of a proceeding in courts of general jurisdiction.
- Rules and Delegation. Any arbitration will be decided by a single arbitrator and administered by JAMS under its Streamlined Arbitration Rules & Procedures for claims that do not exceed $250,000 or otherwise its Comprehensive Arbitration Rules & Procedures, in each case as modified by these Terms and subject to the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards of Procedural Fairness, to the extent applicable. The arbitrator, and not any court, will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, except that a court will decide any dispute regarding the class action waiver, the mass arbitration procedures, or the public injunctive relief exception below.
- Hearings and Award. The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. Any in-person hearing will be held in the county where you reside or, at your election, in Philadelphia, Pennsylvania. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have, including temporary, interim, or permanent injunctive relief or relief providing for specific performance, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The arbitrator will issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The award is final and binding and may be confirmed and enforced in any court with appropriate jurisdiction.
- Fees. If you initiate arbitration, you will pay only the $250 filing fee required of consumers under the JAMS Consumer Minimum Standards (or, if lower, the fee you would pay to file a claim in court), and we will pay all remaining JAMS filing, case management, and arbitrator fees, unless the arbitrator finds your claim was frivolous or brought for an improper purpose. Otherwise, each party will be responsible for its respective costs, including costs related to its respective attorneys, experts, and witnesses, except as otherwise required by the applicable JAMS rules or applicable law.
- Mass Arbitration. If 75 or more similar demands for arbitration are filed against us by or with the assistance of the same or coordinated counsel, the parties agree that the demands will be administered under the JAMS Mass Arbitration Procedures and Guidelines and the associated JAMS Mass Arbitration Procedures Fee Schedule then in effect, and the parties agree to cooperate in good faith to implement those procedures.
- Exceptions. Notwithstanding the foregoing, either party may (i) bring an individual claim in small claims court if it qualifies; (ii) seek injunctive or other equitable relief in the state or federal courts located in Philadelphia, Pennsylvania to protect its intellectual property rights or to stop unauthorized access to or misuse of the Website, and you consent to the personal jurisdiction of those courts for such purposes; and (iii) to the extent applicable law does not permit waiver of public injunctive relief, bring a claim for public injunctive relief in court, which will be stayed until any arbitration of the parties’ individual claims is completed.
- Opt-Out. You may opt out of this agreement to arbitrate by sending written notice to the notice address in Section 12.9 within 30 days after you first accept these Terms. Your notice must include your name, mailing address, the email address you used in connection with the Website (if any), and a clear statement that you wish to opt out of the agreement to arbitrate. Opting out will not affect any other provision of these Terms.
- Severability and Survival. Except as provided in Section 11.3, if any portion of this Section 11 is found unenforceable, that portion will be severed and the remainder of this Section 11 will continue to apply. This Section 11 survives any termination of these Terms and the end of your use of the Website.
- Class Action and Jury Trial Waiver. YOU EXPRESSLY WAIVE YOUR RIGHT TO GO TO COURT, TO A TRIAL BY JURY, AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE, MASS, CONSOLIDATED, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY CLAIM SUBJECT TO ARBITRATION. CLAIMS OF MORE THAN ONE USER MAY NOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER, EXCEPT AS PROVIDED IN SECTION 11.2(f). IF A COURT DETERMINES THAT THIS CLASS ACTION WAIVER IS VOID OR UNENFORCEABLE FOR ANY REASON, OR THAT AN ARBITRATION MAY PROCEED ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS, THEN THIS AGREEMENT TO ARBITRATE WILL BE NULL AND VOID IN ITS ENTIRETY, AND THE DISPUTE WILL BE RESOLVED EXCLUSIVELY IN THE STATE OR FEDERAL COURTS LOCATED IN PHILADELPHIA, PENNSYLVANIA, AND THE PARTIES WAIVE TRIAL BY JURY TO THE EXTENT PERMITTED BY LAW. IN ANY LITIGATION TO VACATE OR ENFORCE AN ARBITRATION AWARD, YOU AND WE WAIVE ALL RIGHTS TO A JURY TRIAL.
- General
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without notice to you, including to an affiliate or in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their successors and permitted assigns.
- Entire Agreement; Severability; Waiver. These Terms, together with any other legal notices or terms we post on the Website (other than our Privacy Policy), are the entire agreement between us regarding the Website. Subject to Section 11.3, if any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision or any other.
- Time to Bring Claims. YOU AGREE THAT ANY CAUSE OF ACTION BROUGHT BY YOU OR ON YOUR BEHALF ARISING OUT OF OR RELATED TO THE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
- Survival. Provisions that by their nature should survive termination of these Terms will survive, including Sections 2, 3, 4, 7, 8, 11, and 12.
- No Relationship. These Terms do not create any agency, partnership, joint venture, fiduciary, or employment relationship between you and us.
- No Third-Party Beneficiaries. Except for the Doral Parties under Sections 7 and 8, these Terms do not create any third-party beneficiary rights.
- Interpretation. The following rules of interpretation apply to these Terms: (a) the word “or” is not exclusive and the words “including” or “include” mean “including without limitation”; (b) headings are only for reference and are not to be considered in interpreting these Terms; (c) references to Sections are to sections of these Terms; (d) the singular includes the plural and vice versa; and (e) a reference to a law includes any amendment or modification to such law and any rules or regulations promulgated thereunder or any law enacted in substitution or replacement therefor.
- Privacy. Questions about how we collect, process, and use your personal information, including information you submit through our contact form, job applications, and newsletter sign-up, and our use of cookies and similar technologies, are addressed in our Privacy Policy, located at https://doralrenewables.com/privacy-policy/. Our Privacy Policy is a notice of our privacy practices and is not incorporated into or part of these Terms.
- Notices. You consent to receive notices from us electronically, including by email or by posting on the Website, and agree that electronic notices satisfy any legal requirement that they be in writing. You may send notice to us at compliance@doral-llc.com, with a copy by mail to Doral Renewables LLC, Attn: Legal Department, 2 Logan Square, Suite 1830, Philadelphia, PA 19103.
